General Terms and Conditions
for the provision of services by Maximilian Dommermuth Coaching, Bitcoin & Consciousness Coaching with Maximilian Dommermuth, Döllesweg 5, 61350 Bad Homburg vor der Höhe, Germany, E-mail: max.dommermuth.coaching@gmail.com (hereinafter referred to as the "Contractor") towards its customers (hereinafter referred to as the "Client")
1. General
1.1 These General Terms and Conditions (GTC) for the provision of services apply to contracts concluded between the Client and the Contractor with inclusion of these GTC.
1.2 If, in addition to these GTC, further contractual documents or other terms and conditions in text or written form have become part of the contract, the provisions of these additional contractual documents shall take precedence over these GTC in the event of any contradiction.
1.3 Deviating terms and conditions used by the Client shall not be recognized by the Contractor unless expressly agreed otherwise.
2. Subject of the contract and scope of services
2.1 The Contractor provides the following services to the Client as an independent entrepreneur:

2.2 The specific scope of services shall be the subject of individual agreements between the Contractor and the Client.
2.3 The Contractor shall perform the contractual services with the greatest possible care and conscientiousness in accordance with the latest standards, rules, and knowledge.
2.4 The Contractor is obliged to provide the services owed under the contract. In performing his work, however, he is not subject to any instructions regarding the manner, location, or time of performance. The Contractor shall independently organize his schedule and working hours to achieve optimal efficiency and realization of the contractual objectives. The Contractor shall coordinate the performance of services with the Client.
3. Client's duties to cooperate
It is the Client’s responsibility to provide all necessary information, data, and content completely and correctly for the purpose of service fulfillment. The Contractor is not responsible for delays in performance caused by late or incomplete cooperation from the Client; the provisions under "Liability/Indemnification" remain unaffected.
4. Remuneration
4.1 The remuneration shall be agreed individually between the parties.
4.2 The remuneration shall be payable after the provision of services. If the remuneration is calculated by time periods, it shall be paid after each period (§ 614 BGB). In case of effort-based billing, the Contractor is entitled to invoice monthly, unless otherwise agreed.
4.3 The Contractor will send an invoice to the Client after performance of services, by post or e-mail (e.g. as PDF). Payment is due within 14 days of receipt of the invoice.
5. Liability / Indemnification
5.1 The Contractor is liable without limitation for intent or gross negligence, for injury to life, body or health, under a guarantee (if agreed), or where legally required. If the Contractor negligently breaches essential contractual obligations, liability shall be limited to typical foreseeable damages, unless otherwise required by law. Essential contractual obligations are obligations that are necessary for achieving the purpose of the contract. In all other cases, the Contractor's liability is excluded. The same applies to the liability of the Contractor's agents and legal representatives.
5.2 The Client shall indemnify the Contractor from any third-party claims resulting from breaches of these contractual terms or applicable law by the Client.
6. Term of contract and termination
6.1 The term of the contract and notice periods for ordinary termination shall be agreed individually between the parties.
6.2 The right to extraordinary termination for good cause remains unaffected.
6.3 Upon termination of the contract, the Contractor must return or destroy all materials and data provided by the Client. A right of retention is excluded. Electronic data must be fully deleted, except where longer statutory retention periods apply. The Contractor shall confirm deletion in writing upon request.
7. Confidentiality and data protection
7.1 The Contractor shall treat all confidential information acquired during the contract with strict confidentiality. This obligation extends to all employees and third parties involved. The duty of confidentiality continues indefinitely beyond the end of the contract.
7.2 The Contractor undertakes to comply with all applicable data protection laws, in particular the GDPR and the German Federal Data Protection Act.
8. Final provisions
8.1 German law shall apply, excluding the CISG.
8.2 Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
8.3 The Client shall support the Contractor in the performance of the services through reasonable cooperation. In particular, the Client shall provide the necessary information and data.
8.4 If the Client is a merchant, a legal entity under public law, or has no general jurisdiction in Germany, the place of jurisdiction shall be the Contractor’s registered office; exclusive jurisdictions remain unaffected.
8.5 The Contractor reserves the right to amend these GTC for valid reasons (e.g. changes in law, case law, market conditions, or business strategy) with reasonable notice. Clients will be informed by e-mail at least two weeks before changes take effect. If the Client does not object within the specified period, consent shall be deemed given. If the Client objects, the Contractor may terminate the contract extraordinarily at the effective date of the changes.
9. Online dispute resolution / Consumer dispute resolution
The EU Commission provides an online dispute resolution platform: https://ec.europa.eu/consumers/odr
This platform is available for the out-of-court resolution of disputes arising from online purchase or service contracts involving consumers. The Contractor is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board under the VSBG.
